SIMLA.COM REFERRAL PROGRAM

1. GENERAL INFORMATION

These Terms govern participation in the referral program (the “Program”). By participating in the Program, you fully agree to these Terms.

The Program is operated by Digital Retail Technologies S.L. (the “Company”), a legal entity registered under the laws of the Kingdom of Spain, registered at C. Serrano 19, 6, DCH, Madrid, 28001, NIF ESB70567656.

Simla.com is a trademark and SaaS platform owned and operated by the Company.

2. WHO CAN JOIN

Participation in the Program is open exclusively to:

— Active customers with a registered account on the Simla.com platform;

— Individuals who have reached the legal age of majority in their country of residence.

3. HOW THE PROGRAM WORKS

Each Simla.com customer (a “Referrer”) can access a unique referral link via the banner on the main page of their personal account. This link may be shared with colleagues, partners, or other interested parties.

When a new user (a “Referral”) registers through the link and purchases a license, the Referrer receives 15% of the total amount paid by the Referral for the license and any extensions. This reward is credited in the form of bonuses to the Referrer’s Simla.com account balance. Bonuses can be used to pay for future invoices on the Simla.com platform.

Alternatively, the Referrer may choose to receive the reward in cash equivalent, subject to all conditions outlined in Section 6 of these Terms.

Rewards are granted on every license payment made by the Referral.

4. WHAT IS INCLUDED IN THE REWARD CALCULATION

The reward is calculated based on payments made by the Referral for:

— A standard Simla.com service package under any active pricing plan;

— Additional users;

— Proprietary Simla.com modules (a full list of modules can be provided by the Company upon request);

— Limit increase packages (e.g., expanded storage, additional integrations, etc.).

Excluded from the reward calculation:

— Third-party modules and integrations (including WhatsApp);

— Recharges of third-party service balances, including messaging platforms such as WhatsApp;

— Taxes, fees, and other charges included in the payment.

5. REWARD СREDITING CRITERIA

A reward is granted if the following conditions are met:

— The Referral registered via the Referrer’s unique referral link;

— The payment covers active, paid license days only (trial or free periods do not count);

— The license payment was successful and not disputed.

Rewards are credited to the Simla.com account balance or paid out by the 10th calendar day of the current month, based on eligible payments made in the previous month.

The duration of the Program for a given Referral is tied to their active license period. The minimum license term is one month. If a Referral pays for a license covering multiple months upfront, the full reward for that period is issued at once.

If a refund is processed upon the Referral’s request, any previously credited reward (in any form) remains with the Referrer and is not subject to reversal.

6. USE OF BONUSES AND CASH REWARDS

Bonuses are non-withdrawable. They may only be used to pay for services provided by the Company via the Simla.com platform.

Bonuses are valid for 12 months from the date of credit, unless otherwise stated in Section 6. After expiration, unused bonuses will be automatically voided.

Сash equivalent rewards may only be paid out after the Referrer has submitted an invoice approved by the Company. Payment may be made:

— Preferably via PayPal;

— Or via bank transfer, subject to separate agreement.

All fees, charges, and currency conversion costs related to cash reward transfers are the sole responsibility of the Referrer.

7. RESTRICTIONS AND LIABILITY

It is strictly prohibited to:

— Use the referral link to register personal or affiliated accounts with the intent of gaining rewards;

— Distribute the referral link via spam, on disreputable websites, or with misleading information.

The Company reserves the right to:

— Suspend participation in the Program;

— Cancel any accrued bonuses or rewards;

— Block accounts in case of violations or abuse.

8. CHANGES AND TERMINATION

The Company may at any time:

— Modify these Terms;

— Suspend or terminate the Program, in whole or in part, including with respect to any individual Referrer;

— Interpret and resolve any disputes regarding the Terms, with final decision-making authority.

9. OTHER PROVISIONS

The Referrer is solely responsible for complying with tax obligations or any mandatory payments related to the received reward, under the laws of their jurisdiction.

If any provisions of these Terms conflict with the mandatory legal norms of the Referrer’s country of residence, those provisions shall apply to the maximum extent permitted without violating such norms.

Participation in the Program does not create an employment, agency, partnership, or similar relationship between the Referrer and the Company. The Referrer may not act on behalf of the Company or Simla.com in any dealings with individuals, companies, or government authorities. The Referrer may not make statements, provide explanations regarding the Program, or promote their referral link using marketing messages that has been explicitly prohibited from publication by the Company.

By participating in the Program, the Referrer consents to the processing and storage of their personal data (including payment details) solely for the purpose of participation and reward processing.
